TERMS OF SERVICE

1. INTRODUCTION & ACCEPTANCE Welcome to Nova Technology Labs ("The Lab," "We," "Us"). By accessing our website, booking a service, or purchasing a subscription, you ("The Client," "The Agent") agree to be bound by these Terms of Service.

2. RELATIONSHIP TO KELLER WILLIAMS Nova Technology Labs is an independent consulting entity owned by Zach Vallejos. While the Founder is employed by Keller Williams Greater Cleveland Northeast as a Tech Trainer, Nova Technology Labs is a separate business.

  • W-2 Role: Education, training, and troubleshooting are provided free of charge during standard office hours as part of the Market Center value proposition.

  • Nova Technology Labs: Implementation, execution, manual data entry, and social media management are paid services contracted directly between the Agent and Nova Technology Labs.

  • Liability: Keller Williams Greater Cleveland Northeast assumes no liability for services rendered by Nova Technology Labs.

3. THE "LAB" WORKFLOW (SERVICE DELIVERY) To ensure efficiency and security, Nova Technology Labs operates on a "Surgical Model."

  • A. The Intake: Upon booking, the Client agrees to provide all necessary credentials (CRM logins, social media passwords) and assets (logos, headshots) via our secure intake form.

  • B. The Surgery (Offline Work): All technical work (scrubbing databases, setting up profiles, designing graphics) is performed offline by our team. We do not perform work "live" on Zoom calls.

  • C. The Reveal: For Audit and Cleanup services, a "Results Call" will be scheduled to review the completed work.

4. THE "HOMETOWN ADVANTAGE" (PARTNER PROGRAM) Agents actively licensed with KW Greater Cleveland Northeast are eligible for the "Preferred Partner Program."

  • Discount: Partner Agents receive 40% OFF the public rate on all services.

  • Eligibility: If a Partner Agent transfers their license to another brokerage, they immediately forfeit the Partner Rate and will be billed at the Public Rate for any recurring subscriptions.

  • Free Strategic Audit: Partner Agents are eligible for one (1) Complimentary Tech Audit per calendar year. Subsequent audits will be billed at the Partner Rate.

5. SUBSCRIPTIONS & CANCELLATIONS (SOCIAL MEDIA)

  • Billing: "Pulse," "Heartbeat," and "Lifeline" plans are billed monthly on a recurring basis.

  • Cancellation: You may cancel your subscription at any time with 30 days' written notice.

  • Content Approval: Nova Technology Labs will post content on your behalf. While we strive for accuracy, it is the Client's responsibility to review their feeds. We are not liable for outdated market stats or listing errors once posted.

6. LIMITATION OF LIABILITY

  • Data Integrity: While we take every precaution when handling your database (Command), Nova Technology Labs is not liable for accidental data loss, corruption, or "broken" SmartPlans caused by third-party software glitches (e.g., Command outages, API failures).

  • No Guarantee of Income: We optimize systems and visibility. We do not guarantee a specific number of leads, closings, or GCI (Gross Commission Income).

1. INFORMATION WE COLLECT To perform our "Surgical" services, we require access to sensitive business data. We collect:

  • Credentials: Usernames and passwords for KW Command, Facebook, Instagram, Google Business Profile, DocuSign, and other real estate technology platforms.

  • Client Data: We may temporarily access your contact database (CSV files, phone numbers, emails) to perform cleanups and imports.

  • Financial Data: We process payments via Wix Payments/Stripe. We do not store your credit card information on our servers.

2. HOW WE USE YOUR DATA

  • Strict Confidentiality: We do not share, sell, or trade your data.

  • The "Firewall" Policy: We strictly prohibit the cross-pollination of data. Agent A's contacts will never be shared with or imported into Agent B's database.

  • Service Execution: Credentials are used solely for the purpose of setting up, auditing, or managing your accounts as contracted.

3. DATA SECURITY

  • Password Management: We utilize encrypted password management tools. Once a one-time project (e.g., Business in a Box) is complete, we recommend the Client change their passwords immediately to revoke our access.

  • Recurring Access: For monthly social media clients, we maintain access only for the duration of the active subscription.

4. THIRD-PARTY SERVICES Our services rely on third-party platforms (Wix, Keller Williams Command, Meta). We are not responsible for the privacy practices of these third-party websites. We encourage you to review their privacy policies separately.
